ACCEPTANCE

The following Terms and Conditions of Sale shall apply to all orders by you (“Purchaser”) for the purchase of furniture and other products (“Products”) from BNT Furniture, sohoConcept and their affiliates as set forth in the confirmation order. Upon sohoConcept confirmation of a Purchaser order, a firm contact for the purchase and sale of the Product will be formed between sohoConcept and Customers, and shall incorporate all the terms set for herein. These Terms and Conditions, of Sale shall supersede any inconsistent or contrary terms and conditions indicated on the actual order or any other document supplied by the Purchaser. sohoConcept reserves the right at any time and without notice to change these Terms and Conditions of Sale. A waiver of any one term or condition shall not be deemed a waiver of any other term or condition. Any attempts to alter this document are subject to additional and/or altered terms and conditions and will become null and void, unless otherwise agreed to in a written agreement signed by both parties. sohoConcept order confirmation shall become final if not objected to within 2 business days from receipt by the purchaser.

ORDERS

All orders placed by Purchaser are subject to acceptance by sohoConcept by way of a written order confirmation. sohoConcept shall have the right, at sole discretion, to refuse or cancel any orders placed. The Purchaser must advise sohoConcept in writing of any errors or discrepancies in the order confirmation within 2 business days after the receipt of said confirmation. Changes to an order are subject to additional changes, if any, for materials, labour, and other related costs and re on hold until written confirmation from sohoConcept will endeavour to maintain the colors and hades of any Products but does not guarantee that there will not be slight differences between colors and shades from the catalogue or from on delivery to another delivery of products. sohoConcept cannot ensure the accuracy of color, grain or other characteristic of Products. Prices, model availability, dimensions, material colors are subject to change without prior notice.

PRICES, TAXES

The prices indicated in the current sohoConcept price list are wholesale prices. Prices and availability are subject to change without notice. sohoConcept reserves the right to modify prices at any time. Unless otherwise agreed in writing, prices include packing, but do not include freight or delivery, in transit insurance, storage service, taxes, and custom duties (where applicable) or installation. All prices are EX WORKS the originating sohoConcept warehouses loaded by sohoConcept. Customers shall be responsible for any state, provincial or local tax (excluding taxes sohoConcept income or profits) that results from the transfer of title or sale or delivery of the Products purchase hereunder.

PAYMENT

Full payment is required prior to delivery of the orders. Buyer is responsible for any costs incurred in arranging payment for the goods e.g. bank transfer fees and related charges. Once the payment is received, we will begin processing the order and ship. In the event that there is insufficient stock to satisfy your order you will be informed as soon as possible. If your order contains any item with a lead time of more than 4 weeks and you have opted to pay a deposit by card, the balance outstanding must be paid in full on the same card before final delivery is made. As part of the checkout process, you will be requested to confirm that you agree to this. A receipt for the balance payment will be posted to your billing address. We will advise you if your payment details cannot be authorized for any reason or if your cheque has failed to clear. We may then invite you to pay by another method.

** Effective on 05/Nov/2014, there will be a surcharge implemented on all orders that we handle the shipping on. These orders include if you do not have an account and we are shipping for you or if you do have your own account and we are printing the labels for you. In order to incur this charge, please print the labels and send with order confirmation and payment.
